These Terms of Use ("Terms") apply to your use of Gatepax AI's services, including its website, API, and any associated software applications ("Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Who We Are

You are responsible for complying with all applicable laws and regulations when using the Services.

4.2 Prohibited Use:

You may not use the Services for any illegal, harmful, or abusive activity. Specifically, you may not:

• Use the Services in a way that infringes, misappropriates, or violates anyone's rights, including intellectual property rights.
  
• Modify, copy, lease, sell, or distribute any of the Services.
  
• Attempt to or assist anyone to reverse engineer, decompile, or discover the source code or underlying components of the Services.
  
• Automatically or programmatically extract data or Output (defined below) in a way that is not explicitly allowed by Gatepax AI.
  
• Use the Services to create or distribute content that is illegal, harmful, offensive, or discriminatory.
  
• Interfere with or disrupt the Services, including circumventing any rate limits or restrictions or bypassing any protective measures or safety mitigations.
  
• Use the Services to develop models that compete with Gatepax AI.
  
• Represent that the Output (defined below) was human-generated when it was not.
  

5. Content

5.1 Your Content:

You may provide input to the Services ("Input"), and receive output from the Services based on the Input ("Output"). Input and Output are collectively "Content." You are responsible for your Content, including ensuring it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to the Services.

5.2 Ownership of Content:

• Input: You retain ownership of your Input.
  
• Output:  Gatepax AI hereby grants you a non-exclusive, royalty-free, worldwide license to use the Output generated by the Services for your personal, non-commercial purposes. You may not resell, redistribute, or sublicense the Output.
  
• Similarity of Content: Due to the nature of AI, Output may not be unique, and other users may receive similar Output.
  

5.3 Gatepax AI's Use of Content:

Gatepax AI may use Content to improve the Services, comply with applicable law, enforce its terms and policies, and keep the Services safe. Gatepax AI may also use de-identified and aggregated Content for research and development purposes.

5.4 Opt-out: You can choose to opt out of allowing Gatepax AI to use your Content for training its models by contacting our support team at terms-of-use@gatepaxai.com. However, opting out may limit the Services' ability to provide you with personalized experiences.

5.5 Accuracy of Output:

• You understand that Output generated by the Services may not always be accurate, complete, or reliable.
  
• You must evaluate Output for accuracy and appropriateness before using or sharing it, including using human review as appropriate.
  
• You must not use any Output relating to a person for any purpose that could have a legal or material impact on that person, such as making important decisions about them.
  

6. Intellectual Property

Gatepax AI and its licensors retain all rights, title, and interest in and to the Services, including all intellectual property rights. You may not use Gatepax AI's name or logo without written permission.

7. Third Party Services and Content

The Services may include third-party software, products, or services ("Third Party Services") and content generated by those services ("Third Party Output"). Third Party Services and Third Party Output are subject to their own terms, and Gatepax AI is not responsible for them.

8. Fees and Payment

• The Services may be offered on a paid or free basis, subject to the terms of the applicable pricing plans.
  
• If you purchase any paid Services, you will provide accurate and complete billing information, including a valid payment method.
  
• We may automatically charge your payment method on each agreed-upon periodic renewal until you cancel.
  
• You are responsible for all applicable taxes.
  
• If your payment cannot be completed, we may downgrade your account or suspend your access to the Services until payment is received.
  
• Payment for Services is non-refundable except as required by law.
  

9. Termination and Suspension

• Gatepax AI may suspend or terminate your access to the Services or delete your account if:
  
  • You violate these Terms or our Usage Policies.
    
  • Gatepax AI needs to comply with the law.
    
  • Your use of the Services poses a risk or harm to Gatepax AI, its users, or anyone else.
    
• Gatepax AI may also terminate your account if it has been inactive for a prolonged period.
  

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND. GATEPAX AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

GATEPAX AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.

YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF THE SERVICES AND ANY OUTPUT GENERATED BY THE SERVICES. YOU SHOULD NOT RELY ON OUTPUT FROM THE SERVICES AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GATEPAX AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA.

GATEPAX AI'S AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE LIMITED TO THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICES IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY OR ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify and hold harmless Gatepax AI and its affiliates, officers, directors, employees, and agents from and against any claims, demands, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

13. Dispute Resolution

• Informal Resolution: Gatepax AI encourages you to contact its support team at terms-of-use@gatepaxai.com to attempt to resolve any disputes informally.
  
• Binding Arbitration: You and Gatepax AI agree to resolve any Disputes through final and binding arbitration.  (Details of arbitration process would be added here).
  
• Class Action Waiver: You and Gatepax AI agree that Disputes will be brought only on an individual basis and not in a class, consolidated, or representative action.
  

14. Changes to the Terms

Gatepax AI may modify these Terms from time to time. We will provide you with notice of any material changes at least 30 days before they take effect. Your continued use of the Services after the effective date of the changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.

15. Governing Law

These Terms will be governed by and construed in accordance with the laws of the State of [insert applicable state], without regard to its conflict of laws principles.

16. Entire Agreement

These Terms constitute the entire agreement between you and Gatepax AI concerning your use of the Services and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
